Experience

Marcin Zdralewicz is an attorney-at-law, a member of the M&A and corporate practice team. He specializes in corporate law, especially in M&A transactions and reorganizations of companies and capital groups (transformations, mergers, divisions, etc.).

He has extensive, over a decade of experience in providing legal advice to businesses in his area of expertise. He gained professional experience in leading law firms in Poznań providing legal advice within the business law department as well as corporate and IT law team.

Selected experience/projects:

  • Comprehensive execution of the transaction (advisory, negotiation and preparation of transaction and pre-transaction documentation, among others: SHA, SPA and binding offer) involving the sale of a majority stake in an IT company to an industry investor (a subsidiary of a listed company) along with the settlement of the founders’ further involvement in development of the company. Deal value: PLN 4.1 million (part of which is an earn-out payable upon fulfillment of KPIs);
  • Comprehensive execution of the transaction (advisory, negotiation and preparation of transaction and pre-transaction documentation, among others: SHA, termsheet and DD report) involving a CVC fund’s (as lead investor) venture capital investment (co-investment with three other VC funds) in a Polish robotics leader for a total of PLN 11 million;
  • Establishment and ongoing corporate-transaction service of an alternative investment fund (with public entities) with an initial capitalization of PLN 100 million;
  • Conducting numerous and diverse reorganization processes, including cross-border reverse merger.

As attorney-at-law he is a member Regional Chamber of Attorneys-at-Law in Poznań, since passing the attorney-at-law exam in 2019.

He graduated from the Faculty of Law and Administration of Adam Mickiewicz University in Poznan with a degree in Law, defending his master’s thesis entitled: Mergers of capital companies with particular emphasis on downstream mergers de lege lata i de lege ferenda.

He graduated in finance and accounting from the Faculty of Management at the University of Economics in Poznan, defending his master’s thesis concerning leveraged buyouts in mergers and acquisitions processes.

He is an enthusiast of diverse music (and concerts!) and good cinema. His main interests are: traveling (including following sports events), cycling and exploring mindfulness.
