We are advising the investor – MINDE and its shareholders in the project to build the luxury SEA Resort in Międzyzdroje. The work of the legal team is coordinated by the partners: attorney-at-law Michał Sobczyński and legal advisor Piotr Pawłowski.
Due to its unique location and project momentum, the investment requires multifaceted legal support. This is carried out by two teams of the law firm Sobczyńscy i Partnerzy | FSG Law.
As part of the corporate and transaction law team, the project is led by Michał Sobczyński with the assistance of legal adviser Kamil Misiak and legal trainee Jakub Krzywoń. The team is responsible for:
- preparation of the investment agreement, including the concept and assumptions of cooperation between shareholders,
- advising on the arrangement of corporate governance in the venture,
- registration of the operator’s company and preparation of the concept of further changes and corporate governance in the operator’s company.
The real estate and construction investment team headed by Piotr Pawłowski carries out:
- preparation of the sales concept for the investment,
- preparation of preliminary sales agreements according to the agreed sales concept and reservation agreements,
- contract development and negotiation of the general investment execution agreement, as well as preparation of the agreement with the substitute investor,
- ongoing legal services concerning the sales process, including contract negotiations, obtaining necessary documents for the sale.
The project involves the construction of a luxury five-star building with 153 unique flats and full leisure facilities, including a swimming pool area with an infinity-type pool, a large restaurant connected with the lobby bar, SPA rooms, sauna area, viewing terraces, Sky Bar, fitness area, kid’s room, and outdoor Jacuzzi with a view of the sea.
The building is being constructed in Międzyzdroje at the Star Promenade in a unique location between the Wolin National Park and the beach.
The commercialisation of the investment is being carried out by ASSETHOME from Szczecin, the general contractor is WPIP Construction and the facility will be operated by Europlan of Artur Kozieja.
