We’re proud to have advised THC Fund on its latest strategic investment — the acquisition of a 75% stake in Med-Gastr Medical Center, a leading gastroenterology clinic in central Poland. The transaction was supported end-to-end by Sobczyńscy i Partnerzy | FSG Prawo, with legal guidance provided by advocate Michał Sobczyński, attorney-at-law Orest Ochocki, and attorney-at-law Marcin Zdralewicz.
Our role covered the full scope of legal and transactional advisory, including structuring the deal, preparing and negotiating the transaction documentation, and managing the process through to closing. The acquisition was carried out in cooperation with Dr. Arkadiusz Mamos—founder of Med-Gastr—and the Mamos family, who remain involved in the business.

Our work included a detailed review of corporate, commercial, and licensing documentation, and an assessment of regulatory risks related to medical services and distribution. We also advised on the shareholders’ agreement and other corporate governance documents to ensure a smooth transition and long-term alignment between the parties.
Med-Gastr, founded in 2006 by Dr. Arkadiusz Mamos, is a highly regarded medical center specializing in the diagnosis and treatment of gastrointestinal diseases. THC’s investment opens a new chapter for the clinic, supporting its national expansion and strengthening its position in a sector shaped by growing healthcare demand and demographic shifts.
This marks THC Fund’s third platform investment in the Polish healthcare sector, following previous consolidations in diagnostic imaging (TOMMA) and dentistry (Dentity) — further demonstrating its long-term commitment to building high-impact healthcare networks.
