Our Law Firm has provided a comprehensive legal support in the sale of Izolbet sp. z o.o. and Izolbex sp. z o.o. for Lafarge (Holcim Group). In the transaction, we represented interests of the existing shareholders and founders of the companies. Legal assistance in the transaction included, in particular, preparation and negotiation of transaction documents, as well as carrying out the process selling the companies.

Izolbet is one of the leading Polish producers of waterproofing materials, construction chemicals, mortars and plasters. It was established in 1995 and has its registered office in Gostynin. It employs 170 people and has four production plants located in Budzyn, Gostynin, Kleszczów and Chmielów. The announcement regarding the acquisition of the Polish company published by Lafarge emphasized that Izolbet had achieved double-digit increases in sales and EBITDA over the last three years.

Since the beginning of its operations, the company has been producing waterproofing materials used in construction under the trade name IZOLBET® – it is currently the market leader in this segment. Its portfolio includes products based on organic solvents and ecological products based on water, to be used in waterproofing of concrete and plasters, maintenance and sticking of the roofing felt, as well as tar and hot adhesives. Company’s products are available throughout the country through a network of wholesalers, warehouses and construction stores.

The company was bought by Lafarge belonging to the Holcim Group. The Holcim Group is the world’s leading manufacturer of building materials, offering solutions for contractors, architects and engineers around the world. The Group produces cement, aggregates and concrete that are used in a wide variety of construction projects, ranging from inexpensive housing and small local projects to the largest, most technically and architecturally demanding infrastructure projects. The Holcim Group employs approximately 75,000 people in around 80 countries.

The transaction still needs to be approved by the Office of Competition and Consumer Protection. Its closure is planned for the second half of 2022.

The transaction was carried out on behalf of the seller by attorney Michał Sobczyński (Managing Partner) and attorney-at-law Orest Ochocki (co-head of the transaction department), both representing  Sobczyńscy i Partnerzy (FSG Prawo). The real estate-related part of the transaction was effected by attorney-at-law Piotr Pawłowski (Partner managing the real estate department) and legal attorney-at-law Milena Gapska.
