We are pleased to announce that we have provided comprehensive legal services for the transaction regarding the sale of Ceko sp. z o.o., a company operating in the dairy sector, whose activity focuses mainly on milk processing, cheese production and sale of cream, for the Polmlek Group.

Our Law Firm represented the interests of the current shareholder – the private equity fund Avallon MBO Fund, which acquired a share in Ceko sp. z o.o. in June 2012.

Legal services provided for the purpose of the transaction by Sobczyńscy i Partnerzy (FSG Prawo) included, in particular, preparation and negotiation of transaction documentation, as well as implementation of the company sale process.

Avallon is a Polish company managing private equity funds. Since 2001, it has participated in over one hundred MBO transactions and is considered a pioneer in this area in Poland. Company’s partners have been operating on the capital investment market since 1993.

The Ceko company was established in 1990 as a private business. Compared to large dairies, Ceko is a plant with a relatively small scale of production, which means that it is able to truly reliably control the quality of its products. It produces maturing cheeses according to traditional Polish recipes. The company has also created a series of cheeses based on recipes taken from various cuisines of the world, such as mimmolle, butterkäse, mozzarella and ricotta. It is also one of the leading Polish cheese suppliers for gastronomy.

The company was bought by Polmlek. It is one of the largest entities in the Polish dairy industry and the largest private dairy company in Poland with 100% Polish capital. Currently, the Polmlek Group is in second place in the ranking of Polish dairies, having 12 production plants before the takeover of Ceko. The core business of the Polmlek Group is mainly the production and sale of dairy products, such as: processed liquid milk, cream, milk powders, cheese, cottage cheese, butter and fat blends, whey and yoghurts, as well as the purchase of milk. In addition, the Polmlek Group, through Fortuna sp. z o.o., produces and sells fruit and vegetable juices, nectars and non-carbonated drinks (Garden, Pysio, Fortuna and Sonda brands).

The transaction was carried out on behalf of the seller by attorney Michał Sobczyński (Managing Partner) and attorney-at-law Orest Ochocki, both representing Sobczyńscy i Partnerzy (FSG Prawo).
