We’re pleased to have advised Feed Expert and its founder, Dr. Krzysztof Białoń, on the formation of a strategic joint venture with the German company Phytobiotics Futterzusatzstoffe GmbH. The newly established entity, Phytobiotics CEE Sp. z o.o., will be headquartered in Poznań and is set to drive expansion into Central and Eastern Europe, delivering cutting-edge solutions in animal nutrition.
The transaction was led by advocate Michał Sobczyński, Managing Partner at Sobczyńscy i Partnerzy | FSG Prawo, with support from trainee attorney-at-law Jakub Marmurowicz.
Our team provided full legal support throughout the process—from structuring the deal and defining the collaboration model between the partners, to negotiating governance and equity arrangements. We also guided our clients through the integration of product portfolios and the establishment of management rules for the new company.
As part of our role, we carried out a legal review of both Feed Expert and Phytobiotics, thoroughly analyzing their corporate, commercial, and licensing documentation. We also assessed regulatory risks, ensuring compliance with both Polish and EU laws governing the distribution of feed additives.
This joint venture marks an important milestone for both partners. Phytobiotics CEE aims to strengthen relationships with clients across the region and offer innovative, science-based feed solutions tailored to local market needs.
