Our M&A and corporate practice advised the founder of Eurotechnik — a manufacturer of roadside-assistance and recovery vehicles and equipment for the automotive industry — on the sale of 100% of the shares in the company to Falkom International Holding B.V. The project was led by managing partner, advocate Michał Sobczyński, together with partner, attorney-at-law Orest Ochocki, supported by trainee advocates Katarzyna Bakalarz-Kasprowicz and Radosław Grzesiak. Real estate matters were coordinated by partner, attorney-at-law Piotr Pawłowski.
We provided the transactional advice jointly with advocate Mariusz Paplaczyk of Wiza Paplaczyk (wizapaplaczyk.pl) — a joint advisory project carried out for the founder of Eurotechnik.
The firm provided comprehensive legal advice to the seller, covering both the preparation of the company for the transaction and support at the subsequent stages of the sale process. Our advice included participation in the buyer’s legal due diligence, the design of the transaction structure and its key parameters, and the preparation and negotiation of the transaction documentation. The firm’s lawyers also supported the owners and the company in establishing the seller’s liability regime and appropriately securing their interests, and subsequently in carrying out the sale of 100% of the shares.
